Las Colinas Women’s Association
Constitution and By-laws (Adopted Spring 2000)

 

ARTICLE I – NAME

This organization shall be known as the Las Colinas Women’s Association.

 

ARTICLE II – PURPOSE AND POLICY

Section 1.  PURPOSE

A.  To welcome all newcomers to the Las Colinas area.

B.  To promote new friendships and foster social and cultural interests within the community.

Section 2.  POLICY

A.  This organization shall be non-commercial, non-sectarian, and non-partisan.

B.  The club shall be governed by the latest edition of  Robert’s Rules of Order.

 

ARTICLE III – MEMBERSHIP AND DUES

Section 1.  MEMBERSHIP

A.  The membership shall consist of women residing in the Las Colinas/Irving area or those women sponsored by a LCWA member.

B.  Members in good standing shall be those who pay dues, attend meetings and further the objectives of this organization.

Section 2.  DUES

A.  Dues shall be payable annually by June 1st, and delinquent as of July 1st.  The amount of the dues shall be determined by a majority vote of the general board.

B.  Dues for new members joining after January 1st shall be ½ the amount of the annual dues.

 

ARTICLE IV – MEETINGS

 

Section 1. REGULAR

Regular meetings shall be held monthly on the fourth Monday of each month September through May.  Changes may be made at the discretion of the board.

Section 2.  SPECIAL

Special meetings of the membership may be called as deemed necessary by the President.

Section 3. BOARD

Board meetings shall be held the Monday following the general meeting or as deemed necessary by the President.

 

ARTICLE V – OFFICERS

Section 1.  ELECTED OFFICERS

Elected officers of this organization shall be: President, 1st Vice-President, 2nd Vice-President, Recording Secretary, Corresponding Secretary, and Treasurer.

Section 2.  APPOINTED OFFICER

The President shall appoint the Past President as Parliamentarian, if she is willing to serve.

Section 3.  NOMINATIONS

A.  In January, each member present shall nominate by written ballot, one person for a nominating committee.  The five receiving the most votes shall constitute the committee and the individual  receiving the greatest number of votes shall be chairperson.  The sixth and seventh persons  receiving votes shall be alternates.

B.  The current President shall automatically serve as ex-officio on the Nominating Committee. No association  member is eligible to serve more than two  consecutive years on the Nominating

Committee.  At the January meeting the President shall announce those members who are eligible for election to the Nominating Committee.

C.  Nominations of officers shall be presented to

the membership at the February meeting,

elected at the March meeting by a majority

vote, installed at the May meeting and take

office upon installation.

 

ARTICLE VI – DUTIES OF THE ELECTED OFFICERS

 

Section 1.   PRESIDENT

It shall be the duty of the President to preside at all meetings of the organization and of  the board; and to perform such duties as regularly pertain to the office, and to be a member ex-officio of the nominating committee.

Section 2.  1st VICE-PRESIDENT

The 1st Vice-President shall preside at meetings in the absence of the President, and is chairperson of the Program Committee for the monthly meetings, cooperating with the 2nd Vice-President, the Social Chairperson.

Section 3.  2nd VICE-PRESIDENT

The 2nd Vice-President shall be chairperson of the social committee.  Her committee shall arrange for the location of general meetings and shall arrange for appropriate refreshments. 

Section 4.  RECORDING SECRETARY

The Recording Secretary shall record the minutes of the general, special and board meetings.  The minutes will then be read, corrected, and/or approved and filed by the appropriate general, special, or board meeting.

Section 5.  CORRESPONDING SECRETARY

The Corresponding Secretary shall conduct the correspondence of the club.

Section 6.  TREASURER

The Treasurer shall record and deposit all dues and other receipts, make all disbursements and keep an accurate record of these.

Section 7. APPOINTED OFFICER

The Parliamentarian shall rule on the order of procedure when requested to do so by the President and acts as chairperson of the Constitution and By-Laws Committee.  She shall also conduct the Installation of Officers in May.  She shall be responsible for updating the job  descriptions.  The outgoing Parliamentarian must meet with the incoming Executive Board to review the Constitution and By-Laws.

 

ARTICLE VII APPOINTED COMMITTEES

The President shall appoint the following Chairpersons: Membership, Yearbook, Publicity, Irving

Community Liaison, Communications, Newsletter, Circulation, Hospitality, Historian and Web Master.

Section 1.  MEMBERSHIP CHAIRPERSON

The Membership Chairperson shall be in charge of making immediate contact with prospective members.  She shall collect all dues and turn all money over to the Treasurer.  She shall keep an up-to-date membership file.

Section 2.  YEARBOOK CHAIRPERSON

The Yearbook Chairperson shall coordinate with the Treasurer and Membership Chairperson, President, and Interest Group Chairpersons to produce an annual yearbook for the membership by the September general meeting.

Section 3.  PUBLICITY CHAIRPERSON

The Publicity Chairperson shall handle all publicity of the organization and keep updated on all programs.

Section 4.  IRVING COMMUNITY LIAISON CHAIRPERSON

The Irving Community Liaison Chairperson shall keep the membership and the board informed of Irving Community affairs and events.

Section 5.  COMMUNICATIONS CHAIRPERSON

The Communications Chairperson and her committee shall

notify the membership of meetings and other club announcements as deemed necessary by the President.

Section 6.  NEWSLETTER CHAIRPERSON

The Newsletter Chairperson shall publish a monthly newsletter (September through May)  informing said membership of upcoming meetings and events. 

Section 7.  CIRCULATION

The Circulation Chairperson shall be in charge of mailing  newsletters and yearbooks to the membership.

Section 8.  HOSPITALITY

The Hospitality Chairperson and her committee shall welcome members to meetings

Section 9.  HISTORIAN

The Historian shall be responsible for photos and shall maintain a scrapbook of club  activities.

Section 10.  WEB MASTER

The Web Master shall be responsible for updating and maintaining  LCWA’s  web page.

 

ARTICLE VIII – INTEREST GROUPS

Interest groups may be formed to meet the demands and interests of the general membership.  They must exist under the Club umbrella, follow Club policies, and make membership in the general Club mandatory.  They shall elect their own officers as chairpersons, plan their programs, and finance their own endeavors.

 

ARTICLE IX – EXECUTIVE BOARD

The Executive Board shall consist of elected officers and, at a meeting called by the President, may make executive decisions.  The Parliamentarian shall serve ex-officio on the Executive Board.

 

ARTICLE X – BOARD OF DIRECTORS

The Board of Directors shall consist of all elected officers, appointed officers, appointed chairpersons, and interest group chairpersons.

 

ARTICLE XI – VACANCIES ON THE BOARD

Vacancies on the Board of Directors shall be filled by the President with the voted approval of the Executive Board.

ARTICLE XII – AMMENDMENTS/REPLACEMENTS

The Constitution and By-Laws of this club may be amended or replaced by the affirmative vote of 2/3s of the membership present at any regular or special general membership meeting; provided that these amendments or replacements shall be presented to the general membership at a  meeting at least 30 days prior to voting.
